Corporate Counsel – Technology, IT & SaaS Contracts, Privacy & IP

Who You Are:

As Corporate Counsel, you will join an experienced and collaborative Legal team to review, draft, and negotiate complex commercial contracts, including vendor contracts, contracts supporting technology and Information Technology (IT) security, privacy matters, and other related assignments
You will work alongside and report into our Director, Corporate Counsel and have the opportunity to work on a myriad of legal issues with room for growth beyond the current scope of the role
The ideal hire should have three to five years of experience at a large law firm or combined law firm/in-house experience negotiating technology, IT and SaaS master services agreements, statements of work, and related documentation
In addition, Corporate Counsel candidate should have experience working with intellectual property (IP) and privacy matters

What You’ll Do:

  • Act as a strategic legal advisor for Galaxy with respect to commercial vendor transactions;
  • Review, negotiate, and document various technology agreements, procurement and vendor contracts, which includes agreements pertaining to software (on prem and SaaS/cloud), outsourcing, hardware, systems, facilities, and professional/consulting services; and various other vendor commercial agreements to support services integral to the Galaxy ecosystem;
  • Issue-spot and appropriately escalate risks and concerns that may exist with technology agreements or vendor contracts;
  • Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate;
  • Collaborate with other functional partners and businesses to ensure appropriate awareness and escalation of issues;
  • Advise on the accuracy and sufficiency of contractual documentation to effectively protect Galaxy interests;
  • Draft and negotiate non-disclosure agreements;
  • Oversee matters related to data, privacy, and security, and manage privacy compliance programs, including maintaining privacy policies
  • Draft, review, and negotiate a variety of contracts related to data sharing, software development and licensing matters
  • Manage IP and brand protection matters
  • Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy; and
  • Help with other special corporate projects and such other activities as may be assigned

What We’re Looking For:

  • The ideal candidate will be highly organized, have meticulous attention to detail and a demonstrable ability to produce quality work product in a fast-paced, high-volume environment;
  • At least 3-5 years of transactional experience reviewing, advising on and drafting technology and other commercial vendor contracts, and working directly with technology, operations and procurement stakeholders;
  • Experience in data privacy, IP law and the use and provision of technology in the context of Technology & Managed Services Agreements;
  • Ability to work well in fast-paced business and evolving legal environment and to manage multiple projects simultaneously;
  • Highly motivated, self-starter who takes initiative;
  • Positive attitude, and willingness to roll up sleeves (no job too big, no job too small);
  • Ability to think creatively and propose commercially pragmatic solutions;
  • Collaborative team member with a high level of professionalism and business judgment;
  • Excellent written and oral communication skills; and
  • Active membership in the NY state bar
